End User License Agreement (EULA)

Introduction
This CrispyCMS End User License Agreement (the “Agreement”) governs your use of CrispyCMS, a proprietary content management system provided by Back Labidi Netzwerktechnik (“Licensor”). CrispyCMS is designed for managing websites, digital content, and applications in business, educational, and personal contexts.
By downloading, installing, or otherwise using CrispyCMS, you agree to be bound by the terms of this Agreement. CrispyCMS may only be installed, accessed, or operated with a valid license key issued by Licensor. Any use without a valid license key is strictly prohibited. Companies or entities that resell CrispyCMS must ensure that their customers are bound by the same terms of this Agreement.
Certain uses of CrispyCMS are strictly prohibited, including but not limited to:
- Operation in nuclear facilities, nuclear weapons production, or other high-risk safety-critical environments
- Use in military weapons systems
- Any application that may endanger human life or violate applicable law
If you do not agree to the terms of this Agreement, do not download, install, or use CrispyCMS. When we say “you,” “your,” or “yourself,” we mean the individual or legal entity exercising rights under this Agreement. When we say “Licensor,” “we,” or “us,” we mean Back Labidi Netzwerktechnik, the entity providing CrispyCMS.
1. Grant of License
1.1 EULA vs. License Key.
- This Agreement (EULA) sets forth the legal rights and obligations regarding your use of CrispyCMS.
- A license key is the technical means to activate and operate the Software. Possession of a valid license key is required to run CrispyCMS. Use of the Software without a valid license key is not permitted.
- All use of CrispyCMS is governed by this Agreement, regardless of license key status.
1.2 License Grant.
Subject to the terms of this Agreement and the possession of a valid license key, Licensor grants Licensee a limited, non-exclusive, non-transferable license to install and operate CrispyCMS solely for internal business purposes.
1.3 Resellers.
Companies or entities that resell CrispyCMS (“Resellers”) may distribute the Software to their customers, provided that:
- End users are bound by the same terms of this Agreement.
- Resellers do not remove or alter copyright, trademark, or proprietary notices.
- Resellers ensure the Software is only used with a valid license key issued by Licensor.
1.4 Restrictions.
Licensee and Resellers may not:
- Copy, modify, or create derivative works of the Software, except for configuration as permitted by documentation.
- Distribute, sublicense, rent, lease, lend, or otherwise make the Software available to third parties outside the scope permitted in Section 1.3.
- Reverse engineer, decompile, or disassemble the Software, except to the limited extent expressly permitted by applicable law.
- Use the Software in any context that is unlawful, unsafe, or prohibited, including but not limited to:
- Nuclear facilities, nuclear weapons production, or other high-risk safety-critical environments
- Military weapons systems
- Any application that may endanger human life or violate applicable law
1.5 Source Availability.
CrispyCMS is distributed as source-available software. Licensee may view and modify the source code solely for internal business purposes in accordance with this Agreement. Redistribution, sublicensing, or public sharing of the source code is strictly prohibited.
Impact on Support:
Any modifications to the source code will void any support obligations under Section 4 (Support and Lifecycle). Licensor is not responsible for issues arising from modified code and will only provide support for unmodified, licensed versions.
1.6 License Model.
Licenses are not bound to specific versions. Within the validity period of a license key, Licensee may install any version of CrispyCMS (Major, Minor, or Patch). This provides maximum flexibility for deployment and upgrades.
1.7 Backups.
Licensee may create backup copies for internal use. All backup copies must be securely destroyed upon termination of this Agreement.
1.8 Audit Rights.
Licensor may conduct audits at reasonable times to verify compliance with this Agreement and proper use of license keys.
1.9 Third-Party Components.
This Agreement does not cover third-party plugins, templates, layouts, or other components provided by Licensee or external parties. Licensor bears no responsibility for such components.
1.10 Export Restrictions.
Licensee may not export, re-export, or transfer the Software to any jurisdiction prohibited by applicable law or regulation.
2. Ownership
The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights.
3. Updates
Licensor may provide updates, patches, or improvements at its discretion. Updates are subject to this Agreement unless accompanied by separate terms.
4. Support and Lifecycle
Licensor may provide support according to the following lifecycle:
Support Lifecycle for Major Releases
- Full Support: 2 years from General Availability (GA). Includes functional updates, security fixes, and bug fixes.
- Extended Support: Additional 3 years. Includes only critical bug fixes and security patches.
- End of Life (EOL): After Extended Support expires, no fixes will be provided.
- Extended Security Updates (ESU): Optional additional service, purchased separately.
Scope of Support:
- Applies only to the core CrispyCMS software.
- Third-party plugins, templates, layouts, or other customer-provided components are not covered.
- Modified source code is excluded from support.
- CrispyCMS does not collect telemetry; only license information is collected for compliance verification.
5. Indemnification
Licensee agrees to indemnify, defend, and hold harmless Licensor from any claims, damages, liabilities, or expenses arising from:
- Misuse of the Software,
- Use of third-party components,
- Violation of this Agreement,
- Any other acts by Licensee that result in claims by third parties.
6. Termination
This Agreement remains in effect until terminated. Licensor may terminate it immediately if Licensee or a Reseller breaches any provision. Upon termination, Licensee or Reseller must stop using the Software, destroy all copies (including backups), and deactivate license keys.
7. Disclaimer of Warranties
The Software is provided “AS IS” without warranty of any kind, express or implied.
8. Limitation of Liability
In no event shall Licensor be liable for indirect, incidental, consequential, special, or punitive damages. Total liability shall not exceed the amount actually paid for the Software.
9. Governing Law
This Agreement is governed by German law. Disputes are subject to the courts located in 52477 Alsdorf, Germany.
10. Force Majeure
Licensor is not liable for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, government actions, or labor disputes.
11. Severability
If any provision is invalid or unenforceable, remaining provisions remain in full force.
12. Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the Software and supersedes all prior understandings or agreements.
